1. Introduction
Welcome to weya.ai, operated by NEOAMYRA AI SOLUTIONS PRIVATE LIMITED ("Company", "we", "our", "us"). By accessing or using our website, platform, API, or services (collectively, the "Services"), you ("User", "Client", "Customer") agree to be bound by these Terms and Conditions ("Terms").
If you have entered into a separate written agreement (such as an Enterprise Service Agreement) with us, the terms of that separate agreement shall prevail in the event of any conflict with these Terms.
2. Account Registration & Security
2.1 Account Creation: To access certain features, you may be required to register an account. You agree to provide accurate, current, and complete information.
2.2 Responsibility: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.3 Security: You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with security obligations.
3. Usage Rights & Restrictions
3.1 License: Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
3.2 Restrictions: You agree not to:
Reverse engineer, decompile, or disassemble any part of the Services.
Use the Services for any illegal purpose, including spamming or violating privacy laws (e.g., TRAI, GDPR, DND regulations).
Resell, sublicense, or distribute the Services without our prior written consent.
Attempt to probe, scan, or test the vulnerability of our systems.
4. Payments, Cancellations, and Refunds
4.1 Pricing & Payment
Use of the Services is subject to the fees set forth in your specific Order Form or selected Subscription Plan. All fees are exclusive of applicable taxes (GST), which will be charged additionally.
4.2 No Refund Policy
Unless expressly stated otherwise in a written agreement, all fees paid are non-refundable. This includes setup fees, subscription fees, and usage-based charges (telephony/AI minutes). We do not provide refunds for partial months of service, unused usage quotas, or early cancellations.
4.3 Refund Processing Timeline
In the exceptional circumstance that a refund is approved by weya.ai (e.g., in cases of duplicate payment or proven billing error), the following timeline applies:
Processing Time: Refunds will be processed by our internal team within 5-7 working days from the date of approval.
Credit Timeline: Once processed, the refunded amount will be credited to the customer's original bank account or source payment method within 7-10 working days, subject to the processing times of the respective bank or payment gateway.
5. Intellectual Property
5.1 Our IP: The Services, including all software, AI models, algorithms, designs, text, and graphics, are the exclusive property of NEOAMYRA AI SOLUTIONS PRIVATE LIMITED and its licensors.
5.2 Your Data: You retain ownership of the data you upload to the Service ("Customer Data"). You grant us a license to process this data solely to provide the Services to you.
6. Disclaimers & No Warranties
The Services are provided on an "AS IS" and "AS AVAILABLE" basis.
To the fullest extent permitted by law, weya.ai expressly disclaims all warranties of any kind, whether express or implied, including but not limited to:
Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Warranties that the Service will be uninterrupted, timely, secure, or error-free.
Warranties regarding the accuracy or reliability of any AI-generated outputs.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall weya.ai, its directors, employees, partners, or agents be liable for:
Any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, use, or goodwill).
Any damages resulting from hacking, tampering, or other unauthorized access to your account.
Any errors or inaccuracies in AI-generated content.
Our total cumulative liability for any claims arising out of or relating to these Terms shall not exceed the total amount paid by you to us in the one (1) month preceding the incident.
8. Indemnification
You agree to defend, indemnify, and hold harmless weya.ai and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from:
Your use of and access to the Service.
Your violation of any term of these Terms.
Your violation of any third-party right, including copyright, property, or privacy right.
Your violation of applicable laws (including DND/TRAI regulations).
9. Termination
We reserve the right to suspend or terminate your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. You agree to submit to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh for the resolution of any disputes.
